Welcome to Pact.pk ("Platform," "We," "Us," "Our"). These Terms & Conditions ("Terms") govern your use of our platform, which connects freelancers ("Freelancers") with clients ("Clients") through a secure, escrow-based payment system operating under the laws of the Islamic Republic of Pakistan.

By registering, accessing, or using our platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Definitions

Term	Definition
"Platform"	Pact.pk website and mobile application.
"Freelancer"	A user who provides services through the Platform.
"Client"	A user who purchases services through the Platform.
"User"	Any individual or entity using the Platform (Freelancer or Client).
"Project"	A specific task or scope of work agreed upon between a Freelancer and a Client.
"Contract"	The legally binding agreement signed electronically between Freelancer and Client for a Project.
"Escrow"	The secure holding of funds by the Platform (via RapidPay) until the Client approves the completed work.
"Milestone"	A defined phase of a Project with a specific deliverable and payment amount.
"Dispute"	A formal disagreement between a Freelancer and a Client regarding a Project.
"RapidPay"	Our third-party payment gateway partner.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years old to use this Platform.

2.2 Account Types

Freelancer Account: For individuals or entities offering services.
Client Account: For individuals or entities purchasing services.

2.3 KYC Verification

All Freelancers must complete Know Your Customer (KYC) verification by submitting valid government-issued identification (CNIC/NICOP/POC) and a live selfie. Clients may also be required to complete verification for certain Projects.

2.4 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You must immediately notify us of any unauthorized use of your account.

3. User Obligations and Conduct

3.1 Prohibited Activities

Users are strictly prohibited from:

External Payments: Accepting or making payments outside the Platform.
Sharing Contact Information: Sharing personal contact details (email, phone, WhatsApp) before a Project is formally agreed upon.
Fraud or Misrepresentation: Providing false information, fake identities, or fraudulent project details.
Harassment: Abusing, threatening, or harassing other users.
Violating Laws: Using the Platform for any illegal activity under Pakistani law.

3.2 Professional Conduct

All users must communicate professionally and treat each other with respect. Violations may result in account suspension or permanent ban.

4. Projects and Contracts

4.1 Project Creation

Clients post Projects with a description, scope, budget, and timeline. Freelancers may apply or be invited to Projects.

4.2 Contract Signing

Once a Project is accepted, both parties must sign a digital Contract through the Platform. The Contract includes:

Scope of Work: Detailed description of deliverables.
Timeline: Start and end dates, milestone deadlines.
Payment Terms: Milestone amounts and release conditions.
Governing Law: All Contracts are governed by the laws of Pakistan.
Jurisdiction: Any dispute shall be subject to the exclusive jurisdiction of the courts of Lahore/Karachi.

4.3 Electronic Signatures

Digital signatures (via OTP verification) are legally binding under Pakistani law.

5. Payments and Escrow System

5.1 Escrow Protection

All Project payments are held in a secure Escrow account managed by Pact.pk through our payment partner, RapidPay. Funds are only released to the Freelancer when the Client approves the completed work or when an Admin resolves a dispute in the Freelancer's favor.

5.2 Payment Processing

Client Payment: Clients deposit funds into Escrow before work begins.
Milestone Releases: Funds are released in stages based on milestone completion.
Platform Fees: Pact.pk charges a service fee (if applicable), which is deducted from the Freelancer's payment.

5.3 Currency

All transactions are processed in Pakistani Rupees (PKR). International clients must convert currency at the prevailing exchange rate.

5.4 Payment Gateway

Payments are processed through RapidPay. By using the Platform, you agree to RapidPay's terms and conditions.

6. Refund Policy

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Key points:

Refunds are issued if the Freelancer fails to deliver as per the Contract.
Refunds are processed within 3-5 working days after Admin approval.
No refunds are issued once the Client has marked a Project as "Complete."

7. Dispute Resolution

7.1 Mutual Resolution

Users must first attempt to resolve disputes through mutual discussion via the Platform's chat system.

7.2 Admin Mediation

If mutual resolution fails, the dispute is escalated to the Pact.pk Admin team.

7.3 Admin Arbitration

The Admin team will review all evidence (chat history, time logs, Contracts) and make a final, binding decision. The Admin may:

Refund to Client: Release funds back to the Client.
Release to Freelancer: Release funds to the Freelancer.

7.4 Timeline

Stage	Duration	Action
Mutual Discussion	Day 1-3	Both parties try to resolve the issue.
Platform Mediation	Day 4-7	Admin reviews evidence and suggests a resolution.
Final Arbitration	Day 8-14	Admin makes a final, binding decision.

8. Account Suspension and Termination

8.1 Grounds for Suspension

We may suspend or terminate your account if you:

Violate these Terms or any Platform policy.
Engage in fraudulent or illegal activity.
Receive multiple valid complaints from other users.
Fail to complete a Project without valid reason.

8.2 Appeal Process

Suspended users may appeal the decision by contacting support@pact.pk. The Admin team will review the appeal within 7 working days.

8.3 Consequences of Termination

Pending Escrow funds may be held until ongoing disputes are resolved.
You lose access to your account and Platform features.

9. Intellectual Property

9.1 Platform IP

All content, design, logos, and code on the Platform are the intellectual property of Pact.pk.

9.2 User Content

Freelancers retain ownership of their work deliverables. However, by using the Platform, you grant Pact.pk a non-exclusive, worldwide license to use your profile information and portfolio to promote the Platform.

9.3 Prohibited Use

Users may not copy, reproduce, or distribute Platform content without prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law:

Pact.pk is not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
Our total liability is limited to the total fees paid by you to the Platform in the 12 months preceding the claim.
We do not guarantee that the Platform will be error-free or uninterrupted.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available." We make no warranties, express or implied, regarding:

The accuracy or reliability of user profiles or project descriptions.
The quality or timeliness of Freelancer deliverables.
The security of third-party payment processors (RapidPay).

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts of Lahore, Pakistan.

13. Amendments to Terms

We reserve the right to update these Terms at any time. Users will be notified of significant changes via email or in-platform notification. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

14. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
